Shopify's name, trademarks, logos, and other intellectual property belong to Shopify or its respective owners.

All other trademarks appearing through the Services belong to their respective owners.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, M.I.M.S NYC DISCLAIMS WARRANTIES THAT ARE NOT EXPRESSLY PROVIDED IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES OR CONTENT WILL MEET YOUR PARTICULAR EXPECTATIONS OR REQUIREMENTS.

NOTHING IN THESE TERMS DISCLAIMS, EXCLUDES, OR LIMITS ANY WARRANTY, RIGHT, OR REMEDY THAT CANNOT LAWFULLY BE DISCLAIMED, EXCLUDED, OR LIMITED UNDER APPLICABLE LAW.

SECTION 17 — LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, M.I.M.S NYC AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, SERVICE PROVIDERS, LICENSORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES OR PURCHASE OF PRODUCTS, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, M.I.M.S NYC'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO A PARTICULAR PURCHASE OR CLAIM WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO M.I.M.S NYC FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

THESE LIMITATIONS APPLY ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW AND DO NOT LIMIT LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED.

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless M.I.M.S NYC and its owners, officers, directors, employees, contractors, affiliates, agents, licensors, and service providers from third-party claims, damages, liabilities, losses, and reasonable expenses arising out of:

2. Your violation of applicable law;
3. Your infringement or violation of another person's rights; or

This indemnification obligation does not apply to the extent that a claim results from M.I.M.S NYC's own unlawful conduct or any circumstance for which indemnification cannot legally be required.

To the extent permitted by applicable law, any legal action or proceeding arising from or relating to these Terms or the Services shall be brought in a state or federal court located in New York State, in a county where M.I.M.S NYC is headquartered or where venue is otherwise proper.

You and M.I.M.S NYC consent to the personal jurisdiction of such courts to the extent permitted by applicable law.

Nothing in this section prevents a consumer from exercising rights or bringing a claim in a forum where applicable law requires that the consumer be permitted to do so.
